Cannabis Conditional License

Definition

A provisional cannabis license granted to an applicant that has passed initial vetting but has not yet completed all build-out, inspection, or operational requirements needed for a full license.

What Is a Conditional Cannabis License?

A conditional cannabis license (also called a provisional license in some states) is a license that has passed the initial application and background check process but is not yet authorized for commercial operations. The license holder must still complete one or more conditions — typically including facility build-out, final inspection, and operational approvals — before the conditional license converts to a full (operating) license.

How Conditional Licenses Work

Most states with competitive licensing processes separate the licensing process into stages:

Stage 1 — Conditional License:

  • Application submitted and reviewed
  • Background checks completed and passed
  • Financial qualifications verified
  • Conditional license issued
  • License holder begins facility build-out, equipment installation, and regulatory compliance preparation

Stage 2 — Full License Conversion:

  • Facility inspection passed
  • Security system operational
  • Inventory tracking system (METRC or equivalent) activated
  • Staff hired and trained
  • Full (operational) license issued
  • Commercial operations may commence

Time Limits and Extensions

Conditional licenses typically have time limits — often 12 to 24 months — within which the holder must complete conversion conditions. Failure to convert can result in license forfeiture. Extensions may be available but require state approval. The race to find financing, secure real estate, and complete build-out within the conditional window is one of the most stressful phases of cannabis business development.

Conditional License Transfers

In some states, conditional licenses can be transferred or acquired by other parties before conversion to a full license, creating an M&A market in early-stage conditional licenses. Transfer approval typically requires regulatory review.
