A Newark, New Jersey resident with a prior cannabis conviction qualified under New Jersey's Social Equity definition as administered by the Cannabis Regulatory Commission (CRC). The client had limited capital, no prior business ownership, and no legal counsel experience. They had applied for and received a conditional Class 5 retail license but faced a 2-year clock to convert to an annual license — a process requiring a physical location, local government approval, a Business Formation Plan, and compliance with the CRC's Community Impact Plan requirements.
The client's conditional license was 14 months old and they had not yet secured a retail location or local approval. The CRC had issued a deficiency notice warning that the conditional license could be revoked if conversion was not imminent.

Triage and Timeline. Bob Hoban's team audited the conversion timeline and identified the critical path: (1) site selection and lease execution; (2) municipal zoning approval and local endorsement; (3) CRC pre-approval of the premises; (4) full conversion application. We had approximately 8 months to complete all four phases.
Site Search and Lease Negotiation. Hoban Law Group advised on cannabis-compliant lease structures in New Jersey — specifically the CRC's prohibition on landlord revenue sharing beyond flat rent and the requirement that the lease term cover the full initial license period. We identified a Newark commercial property, negotiated lease terms that complied with CRC regulations, and drafted a landlord cannabis addendum.
Municipal Process. Newark's municipal cannabis ordinance required a Public Community Meeting and a letter of support from the City Council district representative. We prepared the client for the community meeting, drafted the impact narrative, and coordinated with the council office.
CRC Conversion Application. We assembled the full conversion application package: Business Formation Plan, Community Impact Plan, floor plan, security plan, inventory control plan, and attestation forms. The Community Impact Plan specifically addressed the client's prior conviction under New Jersey's expungement framework and the personal reinvestment commitment to the Newark community.

The CRC issued the Class 5 Annual Retail License 7 months after engagement — within the conversion window. The client opened Newark's first social equity-owned cannabis dispensary.
The Community Impact Plan was cited by the CRC as a model document in subsequent social equity applicant guidance materials. Hoban Law Group now provides ongoing compliance counsel for the client's annual renewal and operational compliance requirements.
